1. Agreement and Acceptance

By accessing, browsing, or using the PropAsia Platform (web and mobile applications), you agree to be bound by these Terms of Service ("Agreement," "ToS," "Terms") and all applicable laws and regulations. If you do not agree to these Terms, please do not use the Platform.

1.1 Scope

These Terms apply to:

  • All users of propasia.com and related subdomains
  • Mobile applications (iOS and Android)
  • All services offered by PropAsia Pte. Ltd. ("Company")
  • All content, features, and functionality

1.2 Age Requirement

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use this Platform. If you are between 13-18 years old in EU or equivalent jurisdiction, you must have parental/guardian consent.

1.3 Account Responsibility

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities under your account
  • Informing us of unauthorized access
  • Accepting all risks of unauthorized access

1.4 CRITICAL DISCLAIMER: Foreign Ownership

IMPORTANT NOTICE FOR NON-RESIDENTS: Real estate laws in Southeast Asia (particularly Thailand, Vietnam, and Philippines) strictly regulate foreign land ownership. In many cases, foreigners cannot own land freehold.

  • Condominiums: Foreigners may typically own condo units (freehold) subject to foreign quota limits (e.g., 49% in Thailand).
  • Land: Foreigners generally cannot own land directly.

Users are solely responsible for verifying their legal eligibility to buy property. Propasia is not liable for deposits lost due to legal ineligibility.

1.5 AI Content Disclaimer

Some property descriptions and translations on the Platform may be generated or enhanced by Artificial Intelligence (AI). While we strive for accuracy, AI content is for convenience only and must be verified by the seller/buyer.


2. Registration and Account

2.1 Registration Requirements

To create an account, you must provide:

  • Legal name
  • Valid email address
  • Phone number
  • Verified identity (government-issued ID for certain features)
  • Accurate and complete information
  • Current mailing address

Accuracy Commitment: You warrant all information is truthful and complete.

2.2 Account Types

Buyer/Tenant Account:

  • Browse and inquiry about properties
  • Schedule viewings
  • Save properties to favorites
  • Receive market updates and recommendations

Seller/Landlord Account:

  • List properties
  • Manage inquiries and offers
  • Schedule buyer viewings
  • Access analytics and reports
  • Standard account features

Real Estate Agent Account:

  • List properties on behalf of clients
  • Manage multiple property listings
  • Access advanced analytics
  • Priority support
  • Verification and certification required

Corporate/Institutional Account:

  • Multi-user access
  • Administration panel
  • Team management features
  • Custom reporting

2.3 Registration Process

  • Email verification required
  • Phone verification via SMS or call
  • Identity verification for sellers/agents
  • KYC/AML compliance for financial features
  • Optional: Social media integration (Google, Facebook, Apple)

2.4 Account Restrictions

Prohibited:

  • Minors under legal age
  • Individuals in sanctions jurisdictions
  • Users with prior account termination
  • Those involved in fraud or illegal activity

Verification Rights: We may require additional verification at any time to comply with regulations or prevent fraud.


3. User Conduct and Prohibited Activities

3.1 Prohibited Conduct

You agree NOT to:

  • Commit fraud, forgery, or falsification
  • Engage in bribery or corruption
  • Violate sanctions or export control regulations

Platform Misuse:

  • Upload malware, viruses, or harmful code
  • Attempt unauthorized access to systems
  • Disrupt service availability or integrity
  • Reverse engineer or modify Platform code
  • Scrape or automate data collection
  • Create multiple accounts to manipulate listings

Intellectual Property Violation:

  • Infringe copyrights, trademarks, or patents
  • Upload copyrighted content without permission
  • Violate publicity or privacy rights
  • Plagiarize or misappropriate content

Deceptive Practices:

  • Provide false or misleading information
  • Impersonate other individuals or organizations
  • Create artificial demand or supply
  • Manipulate pricing or market conditions
  • Post misleading property descriptions

Harassment and Abuse:

  • Send threatening, abusive, or harassing messages
  • Engage in discriminatory conduct
  • Publish private information without consent
  • Cyberbully or defame individuals
  • Create hostile environment

Transaction Violations:

  • Arrange transactions outside Platform
  • Avoid payment fees through off-platform deals
  • Engage in unauthorized lending/financing
  • Use platform for purposes other than intended

3.2 Consequences of Violation

Violations may result in:

  • Warning or suspension notice
  • Account suspension (temporary or permanent)
  • Content removal
  • Blocking from Platform
  • Cancellation of transactions
  • Legal action and damages
  • Cooperation with law enforcement

3.3 Appeals Process

If your account is suspended or terminated:

  1. You will receive written notice with reason
  2. You may submit appeal within 30 days
  3. Email: appeals@propasia.com
  4. We will review and provide decision within 14 days
  5. Decision is final, no further appeal available

4. Property Listings and Descriptions

4.1 Listing Accuracy

Seller/Landlord Responsibility:

  • All property information is accurate and complete
  • Photos are of the listed property
  • Pricing is current and honest
  • Specifications are truthful
  • Legal status is correctly represented

Warrants:

  • You have authority to list the property
  • No fraud, misrepresentation, or deception
  • Property is in described condition
  • No liens, encumbrances, or claims undisclosed
  • Compliance with local real estate laws

4.2 Prohibited Listings

Cannot list:

  • Properties you don't own or have authority over
  • Stolen or illegally obtained properties
  • Properties with undisclosed liabilities
  • Properties violating zoning or regulations
  • Properties subject to court action or foreclosure (unless disclosed)
  • Fraudulent or scam listings

4.3 Property Removal

Propasia may remove listings that:

  • Violate these Terms
  • Are fraudulent or misleading
  • Contain illegal content
  • Harm other users
  • Violate local regulations
  • Receive multiple complaints

Notice: Removal notice will be provided with reason. Appeals available within 30 days.

4.4 Listing Duration

Free Listings:

  • 30-day initial period
  • Auto-renewal every 30 days (if active)
  • Removal if inactive for 90+ days
  • Renewal requires updated property information

Premium Listings:

  • Duration per subscription tier
  • Auto-renewal on anniversary date
  • Cancellation available anytime with pro-rata refund

4.5 Property Content Guidelines

Photos and Videos:

  • Maximum 50 images per listing
  • Maximum 5 video files (5 GB total)
  • Formats: JPG, PNG, MP4, MOV
  • Professional photography encouraged
  • Virtual tours acceptable
  • Drone/aerial photography must comply with regulations

Descriptions:

  • Maximum 5,000 characters
  • Accurate and factual
  • No commercial spam or keywords stuffing
  • No third-party contact information (except verified agents)
  • No offensive or discriminatory language

5. Services and Features

5.1 Core Services

Property Search and Browsing:

  • Browse available listings free of charge
  • Advanced search filters
  • Property comparison tools
  • Saved favorites list
  • Market trends and analytics

Inquiry and Communication:

  • Direct messaging with sellers/agents
  • Request property viewings

Scheduled Viewings:

  • Schedule property viewings
  • Receive confirmations and reminders
  • Seller/agent calendar management
  • Viewing history and notes

Propasia Plus Subscription:

  • Unlimited listings

  • Dedicated support

5.3 Service Limitations

No Availability Guarantees:

  • Platform provided on "as-is" basis
  • No warranty of uninterrupted service
  • Maintenance and updates may cause downtime
  • Scheduled maintenance: Sundays 2-4 AM UTC
  • Emergency maintenance without notice if necessary

No Transaction Guarantees:

  • We do not guarantee successful property sale/rental
  • No guarantee of buyer/tenant quality
  • No assurance of fair pricing
  • No obligation to complete transactions
  • Platform only provides connection, not transaction oversight

No Financing Services:

  • We do not provide mortgages or financing
  • Connections to lenders for informational purposes only
  • No endorsement or recommendation of specific lenders
  • Financing terms and approval subject to lender discretion

6. Payments and Fees

6.1 Listing Fees

Free Listings:

  • Standard listing at no charge
  • Limited to 10 active listings per account
  • Basic search visibility
  • Standard listing duration (30 days)

Premium Listings:

  • Enhanced visibility and placement

Subscription Refunds:

  • No refunds for partial months
  • Cancellation ends subscription at period end
  • Prepaid credits forfeited upon cancellation
  • Institutional agreements: Custom refund terms

Dispute Process:

  1. Contact support within 30 days of charge
  2. Provide transaction details and reason
  3. We will review and respond within 7 days
  4. Refund processed within 30 days if approved

7. Intellectual Property

7.1 Platform Ownership

Propasia Intellectual Property:

  • All Platform content is Propasia's exclusive property
  • Includes: code, design, graphics, layout, trademarks, logos
  • Protected by copyright and other intellectual property laws
  • All rights reserved worldwide

User License:

  • Limited, non-exclusive license to use Platform
  • License is personal and non-transferable
  • License terminates upon account closure
  • No right to sublicense

7.2 User Content

Your Content:

  • You retain ownership of property photos, descriptions, videos
  • Propasia receives non-exclusive, worldwide, perpetual license to use content
  • License includes: display, distribute, reproduce, modify as needed
  • License survives account termination

Usage Rights:

  • We may use content in marketing and promotional materials
  • We may create derivative works
  • We may license to partners or third parties
  • We may display content in search results, analytics, reports
  • Compensation: None unless separately negotiated

Rights Reserved:

  • You warrant you own or have rights to all content
  • You indemnify us for content infringement claims
  • You authorize us to remove infringing content

7.3 Restrictions

You may not:

  • Modify, copy, or distribute Platform code/design
  • Reverse engineer or decompile Platform
  • Sell, license, or sublicense Platform access
  • Create derivative works from Platform
  • Scrape, crawl, or data mine Platform content
  • Use automated tools to access Platform
  • Bypass security or access controls

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties

"AS-IS" PROVISION:

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

SPECIFIC DISCLAIMERS:

  • No warranty of merchantability
  • No warranty of fitness for particular purpose
  • No warranty of accuracy or completeness of information
  • No warranty of uninterrupted or error-free service

8.2 Accuracy Disclaimer

We do not warrant:

  • Completeness of property listings
  • Quality of professionals or service providers

Users rely on:

  • Own investigation and due diligence
  • Independent appraisals and inspections
  • Legal and financial advice from qualified professionals
  • Professional home inspections
  • Title searches and legal reviews

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Propasia SHALL NOT BE LIABLE FOR:

Indirect Damages:

  • Lost profits or revenue
  • Lost data or files
  • Lost business opportunity
  • Lost goodwill or reputation
  • Consequential, incidental, special damages

Direct Damages Cap:

  • Total liability limited to fees paid by user in past 12 months
  • If no fees paid: Liability limited to $100 USD
  • Applies to all claims (contract, tort, negligence)

Exceptions (May Not Apply in All Jurisdictions):

  • Excluded: Fraud, gross negligence, willful misconduct
  • Excluded: Personal injury or death
  • Excluded: Infringement claims with third parties

8.4 Indemnification

You agree to indemnify and hold harmless Propasia from:

  • User breach of these Terms
  • User violation of applicable laws
  • User infringement of third-party rights
  • User-generated content claims
  • Third-party property damage or injury claims
  • Legal fees and costs resulting from above

Indemnification Process:

  1. Notify Propasia in writing within 30 days of claim
  2. Grant sole control of defense to Propasia
  3. Cooperate fully in defense
  4. Cover all reasonable attorneys' fees and costs

9.1 Third-Party Content

External Links:

  • Platform may contain links to third-party websites
  • Links provided for convenience only
  • We do not endorse or control third-party sites
  • Third-party sites have separate privacy policies
  • Use third-party sites at your own risk

Third-Party Services:

  • Mortgage brokers and lenders
  • Insurance providers

No Responsibility:

  • We are not liable for third-party conduct
  • We are not responsible for third-party content

Maps and Geolocation:

Payment Processing:

  • Payment terms subject to processor agreements
  • We process transactions on processor behalf

10. Data and Privacy

10.3 Data Retention

Upon account closure:

  • Active data deleted from production systems within 30 days
  • Database backups purged within 90 days
  • Disaster recovery archives purged within 12 months (encrypted, access-controlled)
  • Legal holds extended if required by law or pending litigation
  • Transaction records retained per law (7 years for tax/AML compliance)

Technical Note: Backup systems operate on rotation cycles. During the retention period, your data in backups is encrypted (AES-256), access-controlled, and used only for disaster recovery purposes.


11. Dispute Resolution

11.1 Informal Resolution

Before Legal Action:

  2. Provide detailed description of dispute
  3. Reference relevant transaction or listing
  4. Include documentation and evidence
  5. Await response within 15 business days
  6. Good faith negotiation required

11.2 Mediation

If informal resolution fails:

  1. Either party may initiate mediation
  2. Select neutral third-party mediator
  3. Each party bears own costs (mediator fees shared)
  4. Mediation held in English or [Primary Language]
  5. 30-day timeline for mediation resolution
  6. Non-binding but good faith participation required

11.3 Governing Law and Arbitration

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Primary Dispute Resolution - Singapore International Arbitration Centre (SIAC): Any dispute, controversy, or claim arising out of or relating to this Agreement, including its validity, interpretation, performance, breach, or termination, shall be resolved by binding arbitration under the Rules of the Singapore International Arbitration Centre (SIAC).

Arbitration Terms:

  • Seat of Arbitration: Singapore
  • Language: English
  • Number of Arbitrators: One (1) for disputes under USD $500,000; Three (3) for disputes above USD $500,000
  • Governing Rules: SIAC Rules (current edition)
  • Expedited Procedure: Available for disputes under USD $100,000
  • Confidentiality: All arbitration proceedings shall be confidential
  • Costs: Each party bears its own legal costs; arbitrator fees shared equally unless otherwise determined by the arbitrator

Why Singapore? Singapore is a neutral jurisdiction with a well-established legal framework, recognized for fair and efficient dispute resolution. SIAC is one of the world's leading arbitration institutions with international enforceability under the New York Convention (1958).

Exceptions to Arbitration: The following matters are excluded from mandatory arbitration:

  • Small claims court proceedings (where local jurisdiction mandates)
  • Intellectual property disputes requiring injunctive relief
  • Consumer protection claims where local law prohibits mandatory arbitration
  • Criminal matters or regulatory investigations

For EU/GDPR Users:

  • All statutory consumer protections under EU law apply
  • You retain the right to pursue legal action in your home state for consumer disputes
  • This arbitration clause does not limit your rights under GDPR

For Local Consumer Protection: Governing Law & Jurisdiction:

  • Choice of Law: Laws of the Singapore.
  • Exclusive Venue: Courts of Singapore, Singapore.
  • Arbitration: For commercial disputes, parties agree to arbitration under the Singapore International Arbitration Centre (SIAC) rules. for consumer disputes, such provisions shall not apply

11.4 Class Action Waiver

Where Permitted:

  • You waive right to pursue claim in class action
  • You waive right to jury trial
  • Claims must be pursued individually
  • Exception: Consumer protection laws may override

11.5 Statute of Limitations

  • All claims must be initiated within 2 years
  • Running from date of claim accrual
  • Exception: Legal holds or mandatory reporting

12. Modifications and Termination

12.1 Term

Account Duration:

  • Continues indefinitely until closure
  • Either party may terminate anytime
  • No penalty for termination (except ongoing obligations)

Subscription Services:

  • Continue for duration of subscription term
  • Auto-renew unless canceled 30 days before expiry
  • Cancellation processed immediately

12.2 Modifications to Terms

We may modify these Terms:

  • Upon 30-day written notice via email
  • Posted on Platform with "Last Updated" date
  • Continued use after modification = acceptance
  • Material changes require affirmative consent

Material Changes:

  • Changes to core services or fees
  • Changes to liability limitations
  • Changes to dispute resolution
  • Changes to user rights
  • Right to cancel within 30 days without penalty

12.3 Account Termination by User

You may close your account:

  1. Log in to account settings
  2. Select "Close Account" option
  3. Confirm request via email link
  4. Allow 30 days for processing
  5. Data deleted per privacy policy

Obligations Survive:

  • Liability for pending charges
  • Obligation to remove illegal content
  • Confidentiality of platform information
  • Indemnification obligations
  • Restriction on account recreation

12.4 Termination by Propasia

We may terminate without cause:

  • 30-day notice via email
  • Reason not required
  • Ongoing subscription pro-rata refund
  • Listing fees: No refund

We may terminate for cause:

  • Immediate termination for violations
  • No refund of any fees
  • Content removal
  • Account ban (permanent or temporary)
  • No notice required if security threat

Consequences:

  • Loss of access to account and listings
  • Forfeiture of pending listings
  • Removal of all content
  • Account ban prevents re-registration

13. Representation and Warranties

13.1 Company Representations

Propasia represents and warrants:

  • Valid business entity organized under applicable law
  • Authority to enter into and perform these Terms
  • Terms constitute binding and enforceable obligation
  • Not in violation of other agreements or laws
  • Has all necessary intellectual property rights

13.2 User Representations

You represent and warrant:

  • Have legal capacity to enter into these Terms
  • Not prohibited from using Platform under law
  • Not subject to sanctions or legal restrictions
  • All information provided is truthful and complete
  • Account holder is authorized to act on behalf of organization (if applicable)
  • Not using Platform for illegal purposes
  • Comply with all applicable laws in your jurisdiction

13.3 Agent/Seller Specific Representations

If listing properties, you represent:

  • Hold valid real estate license (if required by law)
  • Licensed to operate in listing jurisdiction
  • Authorized to list properties
  • Maintain professional liability insurance (if required)
  • Comply with all real estate regulations
  • Comply with fair housing laws and non-discrimination requirements

14. Foreign Property Ownership Disclaimer

PROPASIA IS AN INFORMATION PLATFORM ONLY. WE DO NOT PROVIDE LEGAL, TAX, OR INVESTMENT ADVICE.

Foreign ownership of real property is heavily restricted or prohibited in many Southeast Asian countries. Before making any property purchase decision, you MUST consult with qualified local legal counsel.

14.1 Country-Specific Restrictions

🇵🇭 Philippines

  • Foreigners CANNOT own land (Philippine Constitution, Article XII, Section 7)
  • Exception: Condominium units (up to 40% foreign ownership per building)
  • Exception: Long-term lease (up to 50 years, renewable for 25 years)
  • Exception: Former Filipino citizens under RA 8179 (up to 1,000 sqm residential, 1 hectare commercial)

🇹🇭 Thailand

  • Foreigners CANNOT own land (Land Code B.E. 2497)
  • Exception: Condominium freehold (up to 49% foreign quota per building)
  • Exception: Investment under BOI promotion (minimum THB 40 million)
  • Alternative: Leasehold (up to 30 years, customarily renewed)
  • Alternative: Thai company structure (consult attorney - complex regulations)

🇲🇾 Malaysia

  • Restrictions on foreign ownership (National Land Code 1965)
  • Minimum purchase price: RM 1,000,000 - RM 2,000,000 (varies by state)
  • Prohibited: Malay Reserved Land, agricultural land, properties below state threshold
  • MM2H program: May provide additional ownership rights (subject to program terms)

🇰🇭 Cambodia

  • Foreigners CANNOT own land (Constitution, Article 44)
  • Exception: Condominium ownership (above first floor only, per 2010 Foreign Ownership Law)
  • Alternative: Long-term lease (up to 50 years, renewable)
  • Alternative: Nominee structure (consult attorney - significant risks)

🇻🇳 Vietnam

  • Foreigners CAN own apartments (Housing Law 2014, Law 65/2014/QH13)
  • Restrictions: 50-year ownership term (renewable), 30% cap per building, 250 units per ward
  • Foreigners CANNOT own land (land-use rights only, through Vietnamese entity)
  • Requirements: Valid visa/residence permit at time of purchase

14.2 Your Responsibilities

By using this Platform, you acknowledge and agree:

  1. Propasia does NOT guarantee that any property listed is legally available for foreign purchase
  2. Propasia does NOT verify ownership structures, legal compliance, or investment schemes
  3. You MUST conduct independent due diligence with qualified local attorneys before any transaction
  4. You MUST verify current laws as regulations change frequently
  5. You assume all risk for investment decisions made based on Platform information
  6. Propasia is NOT liable for any losses arising from foreign ownership restrictions

14.3 AI-Generated Content Disclaimer

16. General Provisions

16.1 Governing Law

These Terms shall be governed by and construed in accordance with:

  • Applicable laws of primary operating country
  • Supplemented by international commercial principles
  • Subject to mandatory consumer protection laws
  • Subject to mandatory data protection laws

16.2 Entire Agreement

This Agreement constitutes:

  • Entire agreement between parties
  • Supersedes all prior agreements and understandings
  • No modification except in writing signed by both parties
  • If any provision invalid: Severability clause applies

Relationship with Other Policies:

  • Privacy Policy: Incorporated by reference
  • Cookie Policy: Incorporated by reference
  • Platform Guidelines: Incorporated by reference
  • Applicable laws: Override conflicting terms

16.3 Severability

If any provision is found invalid or unenforceable:
